GPLUG

These Terms of Service ("Terms") govern your access to and use of the GPLUG mobile applications ("GPLUG Guest" and "GPLUG Suite"), the GPLUG website at gplug.ai, and any related services (collectively, the "Service") provided by ITECHX, Inc. ("we", "us", or "our"). By using the Service you agree to these Terms.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service you represent that you meet this requirement and that the information you provide to us is accurate and complete.

2. Accounts

• Sign-In: You may sign in via Google Sign-In or Apple Sign-In. You are responsible for maintaining the confidentiality of your sign-in credentials.
• Account Security: You are responsible for all activity that occurs under your account. Notify us immediately at legal@gplug.ai if you suspect unauthorized access.
• Account Termination: We may suspend or terminate accounts that violate these Terms or engage in abusive, fraudulent, or illegal activity.

3. Acceptable Use

When using the Service you agree NOT to:

• Submit false orders, requests, or ratings.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use automated tools (bots, scrapers) to access the Service without our written permission.
• Interfere with or disrupt the Service, its servers, or its underlying networks.
• Use the Service to transmit unlawful, harassing, defamatory, or harmful content.
• Attempt to gain unauthorized access to other users' accounts, restaurant data, or our infrastructure.

4. Orders and Payments

• Order Fulfillment: Orders placed through GPLUG Guest are fulfilled by the participating restaurant. We act as a technology platform connecting guests and venues; we are not a party to the order contract.
• Pricing: Prices, taxes, and service charges are set by the restaurant and may change without notice. The price displayed at checkout is the price you pay.
• Payments: Card payments are processed by Stripe. We do not store credit card numbers. Refunds for cancelled or incorrect orders are issued by the restaurant.
• Disputes: Order disputes (incorrect items, quality issues) should be raised with the restaurant first. If unresolved, contact us at info@gplug.ai.

5. Restaurant Partner Obligations (GPLUG Suite)

If you use GPLUG Suite as a restaurant operator, you additionally agree to:

• Maintain accurate menu, pricing, and availability information.
• Fulfill orders received via the Service in a timely manner.
• Comply with applicable food safety, health, and consumer protection laws.
• Honour the prices and promotions displayed to guests at the time of ordering.
• Not use the Service to collect or process guest data outside the purposes described in our Privacy Policy.

6. Intellectual Property

GPLUG, the GPLUG logo, GPLUG Suite, and all related trademarks, software, designs, and content are owned by ITECHX, Inc. and protected by copyright, trademark, and patent laws (including Turkish utility model TR UM 2025/009596). You receive a limited, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted.

7. User Content

You retain ownership of ratings, reviews, photos, and other content you submit through the Service ("User Content"). By submitting User Content you grant us a worldwide, non-exclusive, royalty-free license to host, display, and reproduce it as needed to operate the Service. You represent that your User Content does not infringe any third-party rights.

8. Service Availability

We strive to keep the Service available 24/7 with a target uptime of 99.9%, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for losses arising from such unavailability.

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. ITECHX, Inc. does not warrant that the Service will be error-free, secure, or meet your specific requirements. The accuracy of menu items, prices, and availability is the responsibility of the restaurant partner.

10. Limitation of Liability

To the maximum extent permitted by law, ITECHX, Inc. and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service is limited to the greater of (a) USD 100 or (b) the amounts you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ITECHX, Inc. from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will remain in effect.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, except where applicable consumer law grants you the right to bring proceedings in your country of residence.
